The UAE real estate market is witnessing a notable investment move after Emaar Properties, listed on the Dubai Financial Market, announced its intention to present an optional cash offer to acquire the remaining shares of Emaar Development, in a step that could lead to restructuring the ownership within one of the most prominent real estate groups in the UAE.
According to the disclosed filing, the company set the proposed price at fifteen dirhams in cash per share, while Emaar Properties directly and indirectly owns approximately 79 percent of Emaar Development's shares, making the anticipated offer primarily directed at the shareholders of the remaining stake, which is close to 21 percent of the capital.
Estimates based on the number of shares not owned by the parent company indicate that the total potential value of the transaction could reach approximately 12.6 billion dirhams, in the event of acquiring all targeted shares—an amount that reflects the massive financial scale of this step and its significance within the UAE real estate sector.
The proposed offer carries a premium of about 7.9 percent compared to Emaar Development's closing share price in the previous trading session, which stood at 13.90 dirhams, presenting shareholders with an investment choice that requires evaluating the offered price and the company's future prospects.
This step does not mean the final completion of the acquisition, as the execution of the transaction remains dependent on obtaining the necessary approvals and fulfilling relevant regulatory procedures.
The completion of the deal, should it receive the required approvals, would strengthen the parent group's control over its development arm and pave the way for greater integration in the management of projects and real estate investments, in a market that continues to attract capital and major projects.
